Terms of Service

1. The service

PenClip is a relationship management platform for wealth managers and similar financial professionals. We grant you a non-exclusive, non-transferable right to use the service during your subscription, subject to these Terms.

2. Accounts and workspaces

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Workspace administrators are responsible for managing member access and for the data their workspace stores. You must provide accurate information and promptly update it when it changes.

3. Trials, fees, and billing

PenClip may offer a free trial. Paid subscriptions are billed per seat on a monthly or annual basis through our payment processor. Fees are non-refundable except where required by law. We may change pricing on renewal with reasonable prior notice.

4. Customer data and your responsibilities

You retain all rights to the data you and your workspace members enter into PenClip (“Customer Data”). You are responsible for the accuracy and lawfulness of Customer Data and for having a valid legal basis to process the personal data of your clients using PenClip. As between the parties, you act as the data controller for Customer Data and PenClip acts as your processor, as described in our Privacy Policy.

5. Acceptable use

You agree not to:

• use the service to violate any law or third-party right;
• upload malicious code or attempt to breach the security or tenant isolation of the platform;
• access another organization’s workspace or data without authorization;
• resell or provide the service to third parties except as expressly permitted.

6. Third-party services

PenClip relies on third-party providers for hosting, authentication, payments, email, storage, and AI features. Your use of the service is also subject to those providers’ terms where applicable. A list of our sub-processors is available on our Sub-processors page.

7. Availability and support

We work to keep the service available and reliable but do not warrant uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice where practical.

8. Confidentiality and security

We protect Customer Data using encryption, access controls, and audit logging as described in our Privacy Policy. You agree to treat any non-public information about the service as confidential.

9. Termination

You may cancel your subscription at any time; access continues until the end of the paid period. We may suspend or terminate access for material breach of these Terms. On termination, you may request an export of your Customer Data within a reasonable window, after which we may delete it in accordance with our retention practices.

10. Disclaimers and liability

The service is provided “as is” to the extent permitted by law. PenClip does not provide financial, legal, or compliance advice, and its outputs (including AI-generated content) are aids, not professional advice. To the maximum extent permitted by law, our aggregate liability arising from the service is limited to the fees you paid in the twelve months preceding the claim.

11. Governing law

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles, and the courts of Singapore have exclusive jurisdiction, except where mandatory local law provides otherwise.
